What buyers look for
Buyer diligence in UK process engineering M&A is more technical and more end-market-focused than in general engineering services. Five items dominate.
End-market exposure first. Exposure to high-growth end-markets — pharma, food processing, hydrogen and energy transition, semiconductor, specialist materials — supports meaningfully stronger multiples than legacy industrial exposure. IP and design ownership second. Process engineering businesses frequently develop bespoke designs for clients. Contracted backlog and project pipeline third. Long-cycle project revenue requires careful normalisation. Buyers want to see contracted backlog by client, average project size, historic backlog-to-revenue conversion, and the trajectory of new project wins. A strong backlog with credible conversion history supports premium pricing; declining or thin backlog with reliance on historic revenue trades meaningfully lower.
Senior engineering retention fourth. Chartered process engineers, design leads, and senior commissioning capability. The labour market for specialist process engineering talent is unusually tight. Buyers diligence tenure, salary benchmarks, restrictive covenants, and lock-in arrangements carefully.
Recurring service revenue fifth. Many process engineering businesses build a recurring service and maintenance book on top of installed projects. This income is valued at a meaningful premium to project revenue because of visibility. We help owners surface and segment the recurring book clearly.
